01. Acceptance of Terms

These Terms & Conditions (“Terms”) govern your use of the TYLO website, registration platform, and related services offered by TYLO APP CORP (“TYLO,” “we,” “us,” or “our”).

By accessing this website, submitting a driver registration, joining the TYLO waitlist, reserving a Founding Driver position, or making a payment to TYLO, you acknowledge that you have read, understood, and agreed to these Terms.

02. About TYLO

TYLO is developing a technology-based transportation network platform designed to connect independent drivers with riders through TYLO’s digital platform and related services.

TYLO intends to launch its transportation network services in selected markets in Florida. Availability may vary by city, county, market, and launch phase.

03. Founding Driver Program

TYLO may offer a limited Founding Driver Program to individuals who register before the commercial launch of the TYLO platform.

The program is currently intended to be limited to the first 500 eligible Founding Drivers, subject to availability, verification, eligibility requirements, and these Terms.

Founding Driver status provides access to the benefits specifically advertised by TYLO for the program. TYLO may establish reasonable rules regarding the activation and continued use of those benefits.

04. $59 Founding Driver Reservation Fee

To reserve a position in the TYLO Founding Driver Program, an applicant must pay a one-time reservation fee of USD $59.

The $59 payment is a Founding Driver reservation fee. It is not a recurring membership payment and does not itself authorize the applicant to provide rides through TYLO.

By completing payment, the applicant expressly acknowledges and agrees that the reservation fee will not be refunded because the applicant changes their mind, decides not to complete onboarding, fails to satisfy driver or vehicle requirements, chooses not to activate a TYLO driver account, or otherwise elects not to participate.

Nothing in this provision limits any non-waivable rights that may apply under applicable law.

05. What the Founding Driver Reservation Provides

Subject to these Terms and eligibility, payment reserves the applicant’s opportunity to participate in TYLO’s Founding Driver Program and receive the Founding Driver benefits TYLO makes available for that program.

Specific benefits, promotions, membership advantages, or features displayed on the TYLO website are subject to their stated conditions and availability.

06. What the $59 Payment Does Not Guarantee

Payment of the Founding Driver reservation fee does not:

• constitute final approval as a TYLO driver;
• guarantee that the applicant will pass a background or driving-history check;
• guarantee that a particular vehicle will qualify;
• constitute employment by TYLO;
• guarantee earnings, ride volume, income, or profitability;
• guarantee a particular launch date in the applicant’s city or market; or
• replace any licensing, insurance, identity-verification, vehicle, safety, or regulatory requirement applicable to the driver.

07. Driver Eligibility and Approval

Before an individual may provide rides through the TYLO platform, the individual must successfully complete TYLO’s onboarding and approval process and satisfy all applicable legal and platform requirements.

These requirements may include identity verification, a valid driver license, vehicle registration, insurance requirements, criminal background screening, driving-history review, vehicle requirements, and other information reasonably required by TYLO or applicable law.

Florida law requires specified application information, criminal-background screening and driving-history review before an individual may be authorized to accept ride requests through a TNC digital network. Florida Senate

TYLO reserves the right to reject or deactivate an applicant who does not satisfy applicable eligibility requirements.

08. Vehicle Requirements

Vehicles used through TYLO must satisfy applicable TYLO standards and all requirements imposed by applicable law, regulation, insurance providers, and safety policies.

Providing vehicle information during pre-registration does not constitute final vehicle approval.

09. TYLO Membership

The $59 Founding Driver reservation fee is separate from any driver membership or subscription that may apply after TYLO launches.

Before activation of a paid recurring membership, TYLO will disclose the applicable membership plan, price, billing frequency, and relevant conditions.

A Founding Driver will not be deemed to have accepted a recurring membership merely by paying the $59 Founding Driver reservation fee.

10. Non-Refundable Reservation Policy

Except where otherwise required by applicable law, all Founding Driver reservation payments are final and non-refundable.

Free Waitlist registrations do not require payment.

Any other future TYLO products, subscriptions, memberships, or services may be governed by separate refund or cancellation conditions disclosed before purchase.

11. Launch Dates and Market Availability

Any launch date, target date, market, city, feature, or availability communicated before commercial launch represents TYLO’s then-current plan and may be changed due to regulatory, operational, technical, insurance, commercial, or other circumstances.

TYLO does not guarantee that its services will become available on a specific date or in every geographic area.

12. Independent Driver Relationship

Drivers who are ultimately authorized to use the TYLO platform are intended to provide transportation services as independent contractors, subject to applicable law and the definitive driver agreement executed during onboarding.

The Founding Driver reservation itself does not create an employer- employee, partnership, joint venture, franchise, or agency relationship between TYLO and the applicant.

Florida law establishes specific conditions relevant to TNC-driver independent-contractor status, including a written agreement between the TNC and driver. Florida Senate

13. Payments

Online payments may be processed by third-party payment providers, including Stripe.

By submitting payment information, you authorize the applicable payment processor to process the transaction according to its applicable terms and policies.

TYLO does not require applicants to provide payment-card information directly through the TYLO driver registration form when payment is processed through Stripe.

14. Founding Driver Promotions and Benefits

Promotional benefits offered to Founding Drivers are subject to the eligibility requirements, limits, duration, availability, and conditions communicated by TYLO.

Unless expressly stated otherwise, promotional benefits have no cash value, may not be transferred or sold, and may be suspended in cases of fraud, abuse, misrepresentation, or violation of TYLO policies.

15. Accuracy of Information

Applicants agree to provide accurate, current, and complete information.

TYLO may deny registration, suspend onboarding, or terminate access when information is materially false, misleading, fraudulent, or incomplete.

16. Prohibited Conduct

Users may not use TYLO’s website or registration system to engage in fraud, impersonation, unlawful activity, unauthorized access, interference with the platform, abuse of promotional programs, or submission of false information.

17. Suspension or Termination

TYLO may suspend or terminate access to its services or programs when reasonably necessary to address violations of these Terms, fraud, safety concerns, legal requirements, eligibility failures, or misuse of the platform.

Additional suspension and termination provisions applicable to active drivers may be contained in the TYLO Driver Agreement.

18. No Earnings Guarantee

Any examples, illustrations, calculators, estimates, or comparisons concerning potential driver earnings are informational only.

Actual driver earnings may vary based on location, hours, demand, trip volume, operating expenses, taxes, vehicle costs, insurance, and other factors.

TYLO does not guarantee any particular amount of earnings, rides, revenue, or profit.

19. Limitation of Liability

To the maximum extent permitted by applicable law, TYLO APP CORP and its officers, directors, affiliates, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, or punitive damages arising from pre-registration, participation in the Founding Driver Program, use of the website, or inability to access services.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

20. Indemnification

To the extent permitted by applicable law, users agree to indemnify and hold harmless TYLO APP CORP and its affiliates, officers, directors, employees, and agents from claims, losses, liabilities, and reasonable costs arising from the user’s unlawful conduct, material violation of these Terms, fraud, or material misrepresentation.

21. Privacy

Personal information submitted through TYLO is handled in accordance with TYLO’s Privacy Policy.

By registering, users acknowledge that TYLO may process information reasonably necessary to manage pre-registration, onboarding, communications, eligibility, security, payments, and operation of the TYLO platform.

22. Electronic Communications

By providing an email address or telephone number, users agree that TYLO may send communications reasonably related to their registration, Founding Driver reservation, onboarding, account, security, launch availability, and TYLO services, subject to applicable law and communication preferences.

Consent to receive marketing communications is not a condition of purchasing the Founding Driver reservation unless expressly permitted by law.

23. Changes to These Terms

TYLO may update these Terms from time to time.

Material changes will apply prospectively as required by applicable law. The current version and effective date will be made available through the TYLO website.

24. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.
